Subject to community feedback, the appointment will be submitted for approval by LDO holders via Snapshot vote in the next voting slot. If approved, the appointment will be implemented by the board in accordance with Lido Alliance BORG’s governing documents.
1. Background
Lido Alliance BORG is a Cayman Islands foundation company established to support the purposes assigned to it under its governing documents as approved by the Lido DAO. It has no members or beneficiaries, and its business and affairs are managed by or under the control of its board of directors. It is funded through the Ecosystem Grant gRequest (EGG).
Under Lido Alliance BORG’s bylaws:
- the Lido Alliance BORG must have at least two directors;
- Director elections require approval of both the board and a Community Module Approval (i.e. via Snapshot vote of LDO holders).
- Directors may be removed by the board, by Community Module Approval, or by an Emergency Supervisor. They may also resign voluntarily.
- The board takes any necessary and useful actions to give effect to the outcome of any Community Module Approval.
The current composition of the board of Lido Alliance BORG is:
- Shaun Musuka (@Steakhouse); and
- Adrian Cachinero Vasiljevic (@adcv, @Steakhouse)*
*Subject to the proposed new director’s appointment taking effect, Adrian Cachinero Vasiljevic is going to resign from his board member role.
2. Proposed appointment
2.1 Appointment of Bryce as Director
Lido Alliance BORG proposes the appointment of Bryce Howarth as a new independent director.
Bryce is a professional independent director at Horizons Global where he specialises in operational excellence for protocol and foundation companies. Bryce provides hands-on leadership across governance, compliance and strategic planning for both early-stage projects and established protocols. He currently serves as an independent director of companies supporting a range of Web3 projects, including Layer 1 and Layer 2 networks, gaming platforms, yield infrastructure, real-world asset projects, decentralised exchanges and stablecoin initiatives.
Bryce is also a Chartered Accountant with a background in financial services. His combination of governance, operational and financial experience would strengthen the board’s ability to support Lido Alliance BORG’s activities and continued development.
2.2 Resulting board composition
Subject to the appointment taking effect, the board of Lido Alliance BORG will consist of:
- Bryce Howarth; and
- Shaun Musuka.
